Introduction
This is an End-User Licence Agreement ("Agreement") between the person ("you") who has installed the computer software application known as CogniSheets Formula Explorer (the "Application" or the "Software"), and CogniSheets Ltd, a company registered in England & Wales ("we", "us"). By installing, copying, downloading, accessing or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not accept and agree to the terms and conditions of this Agreement, CogniSheets Ltd is unwilling to license the Software contained herein to you. In that case, do not install, access or use the Software; rather, delete the Software from your computer or network in whatever form(s) it exists.
General Use
You are granted a non-exclusive, non-transferrable License to use the Software within Google Chome during the Software's evaluation period or for the term of the subscription you purchased. You agree not to, and you will not permit others to use the Application for any illegal purpose or in a manner that violates any law or rights of any other person. You agree not to permit use of the Application in a manner not authorised by this Agreement.
The Software may be installed and used by you for any legal personal or commercial purpose. For Software requiring payment of a license fee for continued use beyond any evaluation period, such fee must be remitted for each user of the Software. The Software cannot be copied or distributed except by the CogniSheets Ltd unless explicitly authorized by CogniSheets Ltd. If this agreement is terminated before the license expiry date, CogniSheets Ltd will not give a refund for any part of the costs of obtaining the licence.
Intellectual property rights
This License does not transmit any intellectual rights on the Software. The Software is protected by copyright, including without limitation by Copyright Law and international treaty provisions.
The structure, organization and code of the Software are the valuable trade secrets and confidential information of CogniSheets Ltd. You agree not to decompile, disassemble or unlock, reverse engineer, or decode the Application in any manner or create any derivative. Any attempts to reverse-engineer, copy, clone, modify or alter in any way without the CogniSheets's specific approval are strictly prohibited. You agree not to copy any features, functions or user interfaces of the Application.
No warranty
CogniSheets Ltd does not warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be uninterrupted or error free. THE SOFTWARE AND ANY SUPPORT SERVICES ARE PROVIDED 'AS IS' AND 'WITH ALL FAULTS'. COGNITSHEETS MAKE NO REPRESENTATIONS, WARRANTIES OR CONDITIONS WITH RESPECT TO THE SOFTWARE AND SERVICES PROVIDED HEREUNDER, AND EXPRESSLY DISCLAIMS, ON BEHALF OF ITSELF AND ITS SUPPLIERS, ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, TITLE, NONINFRINGEMENT, SATISFACTORY QUALITY, ACCURACY, CORRESPONDENCE WITH DESCRIPTION AND FITNESS FOR A PARTICULAR PURPOSE. You assume full responsibility for making backup copies of any of your own software, data and databases that interact with the Software.
Disclaimer
NEITHER COGNISHEETS LTD NOR ITS SUPPLIERS AND LICENSORS SHALL BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, LOSS OF INFORMATION OR DATA, LOSS OF REVENUE, LOSS OF BUSINESS OR OTHER FINANCIAL LOSS ARISING OUT OF OR IN CONNECTION WITH THE LICENCE OR USE OF THE SOFTWARE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY OR ANY OTHER THEORY, EVEN IF COGNISHEETS LTD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY LIMITED REMEDY SPECIFIED IN THIS AGREEMENT IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COGNISHEETs LTD'S ENTIRE LIABILITY UNDER THIS AGREEMENT WILL BE LIMITED TO REPLACEMENT, REPAIR, OR REFUND OF THE LICENCE FEE PAID, AT COGNISHEETS LTD'S OPTION AND POLICY.
